A Non-Executive Director (Non Exec, NED) is required for a software-as-a-service (SaaS) software, IT Company based in M3/M4 corridor and a sales office in the US.

With a strong sales pipeline and existing customers already established the company is looking to achieve revenues of over £1m in 2021.

Our client is looking for an Investing Non-Executive Director to contribute to the continued growth of the company and specific expertise with:

  • Experienced Non Exec FD with the time commitment to be 1 to 2 days in any month.
  • The Non Exec FD will be expected to assist with strategic changes and financial reporting that will help TBSC focus on growth and prepare for a future exit.
  • Preference is for someone who understands the technology or software business model especially for subscription revenue streams.
  • Previous experience in a company that has been involved in SME M&A is an advantage.
  • Experience of an international software business and developing international distribution is ideal.

 The Non-Executive Director will be encouraged to become a shareholder in the Company to align the incoming Non Exec’s interest with that of the existing Directors who are all shareholders. 

Business Concept:

  • Unique technology and IP for optimizing SaaS subscriptions and add-on sales through channel partners.
  • Sales pipeline growth with recurring revenue streams.
  • Established management team.
  • Active sales channels and a growing subscriber base.
  • Plan for an exit in 3/4 years.

Non-Exec Director Role/Requirements/Expertise:

  • Understanding of recurring revenue streams from subscription-based revenue.
  • Experience and knowledge of business valuation processes for an exit.
  • Familiar with due diligence process and company organizational structures.
  • Commercially minded with ability to understand sales and marketing requirements.
  • Ability to improve financial processes and cash flow management.
  • Suggested initial investment of £20k minimum.
  • The Non Exec will be encouraged to become a shareholder in the Company to align the incoming Non Exec’s interest with that of the existing Directors who are all shareholders. The company is registered for the EIS scheme which provides 30% tax relief and up to 100% capital gains relief subject to status.

 

Board Meetings are held every three months and remuneration will be based on business introductions and share options.
